1Supplier Eligibility & Business Registration

To register and maintain an active listing on BePart:

• Suppliers must be legally registered entities, sole traders, or authorized corporate representatives operating lawfully under Zimbabwean laws.
• You warrant that your business holds all necessary statutory licenses, trade permits, municipal approvals, and tax registration credentials (BP Number / TIN) required for your industry sector.
• Boulderstone (Pvt) Ltd reserves the right to request proof of legal registration or business verification documents at any time.

2Accuracy of Listings, Stock & Quotations

Suppliers bear sole and exclusive responsibility for all content published under their account:

• Listings & Descriptions: Product names, specifications, unit measures, and categories must be accurate, truthful, and non-misleading.
• Pricing & Quotations: Quotes provided to customers must clearly specify currency (USD/ZiG), tax inclusions/exclusions, delivery terms, and quote validity periods.
• Stock Availability: Suppliers must promptly update or disable out-of-stock or discontinued items in their supplier inventory dashboard.

3Fulfilment, Taxes & Direct Customer Contracting

When a customer selects or accepts a supplier's quotation on BePart:

• The resulting contract for sale, service, delivery, or construction is strictly between the customer and the supplier.
• The supplier is solely responsible for collecting payment, issuing statutory ZIMRA tax fiscal invoices, delivering goods, and honoring warranties.
• BePart does NOT take, hold, transfer, or process customer purchase money, nor does it guarantee customer payment or supplier performance.

4Intellectual Property Rights & Media Uploads

Suppliers warrant that all product photographs, logos, brand trademarks, and media content uploaded to Cloudflare R2 / BePart servers belong to the supplier or that the supplier holds explicit permission to publish them. You grant Boulderstone (Pvt) Ltd a non-exclusive, worldwide license to display your uploaded media on the BePart platform for catalog search and discovery purposes.

5Prohibited Products, Deceptive Conduct & Suspension

Suppliers must not list stolen goods, counterfeit items, unauthorized dangerous materials, or engage in deceptive price manipulation. Boulderstone (Pvt) Ltd maintains a zero-tolerance policy for fraud and reserves the right to immediately suspend or permanently terminate any supplier account that breaches these standards.

6Indemnification

Suppliers agree to indemnify, defend, and hold harmless Boulderstone (Pvt) Ltd, its directors, officers, and employees from and against any third-party claims, liabilities, losses, damages, or legal fees arising out of the supplier's products, services, breach of contract, statutory tax non-compliance, or infringement of third-party rights.
